Sally Baraka

Sally has had a distinguished career as a business-focused legal executive with strong focus on diversity, equity and inclusion initiatives.  Selected by Philadelphia Mayor James Kenney to serve as Commissioner and then Chair of the Philadelphia Commission on Human Relations, Sally oversaw the commission’s enforcement of the Fair Chance Hiring Law, Wage Equity Bill as well as investigations into claims of discrimination in employment, housing and public accommodations.  She has advised businesses on the legal and regulatory landscape for DEI issues and how it can help drive innovation, productivity and profitability.  In her board governance work, she has advised compensation committees on compensation strategies including severance benefits and equity awards, providing actionable recommendations to ensure the tenure of management teams undertaking strategic transactions.  She has also guided organizations in structuring executive compensation plans that align business objectives with shareholder interests.  

As a business-focused C-level legal advisor, Sally has led IPO efforts and provided strategic counsel to publicly traded (NASDAQ: AGGR & QLIK) and private equity-backed (Thoma Bravo, New Mountain Capital, Goldman Sachs, Apax Partners, and T.H. Lee) technology companies. Sally possess deep experience driving IP monetization and SaaS strategies, as well as structuring patent, data privacy, and open-source programs. She has extensive experience in corporate board governance, complex transactions, and M&A and has led over $3.5 billion in private-equity-backed recapitalization and M&A efforts.  Sally currently serves as General Counsel to private equity backed software companies.
